Board Secretary

We are now seeking to appoint a new Board Secretary, who will support the Chair and Chief Executive in facilitating the activities of the Board.


Owned by Sport England, Plas y Brenin is managed on their behalf by the educational charity, the Mountain Training Trust (MTT).

MTT’s primary aim is the advancement of education, training and skill development for safe conduct within outdoor environments. The charity is governed by a Board who has overall responsibility for the performance and direction of the charity, working within the Trust’s Memorandum and Articles. Led by an Independent Chair, the board is made up of 11 Trustees, including the three founding members and a further seven independent directors. The Board shapes the strategic development of the organisation, providing creative, insight-led and constructive input.

We are now seeking to appoint a new Board Secretary, who will support the Chair and Chief Executive in facilitating the activities of the Board. The position will require attendance at 4 Board Meetings per year, a Board development day (typically the day following a Board meeting) and two Governance Committees. The Board meetings and development day are usually held at Plas y Brenin, with the Governance Committees via teleconference. Remuneration reflects the skills and experience of the appointee. The appointment will be on a contract basis for two years and then annually renewable. Our preference is that you would live within an easy commute of Plas y Brenin, Snowdonia so that you are available to meet with the Chair and Chief Executive to set the agenda and then attend each Board session.

We are looking for someone who:

  • Has experience of taking minutes and preparing for meetings.

  • Respects total confidentiality at all times.

  • Is bright and enthusiastic and has good organisation skills.

  • Has knowledge in the use of Microsoft applications.

  • Is available to meet with the Chair and Chief Executive in advance of each Board session and can commit to attendance at each meeting. Our preference is that you would live within ready travelling distance of Plas y Brenin.

Job Description

The essential tasks of a Board Secretary are as follows:

  • Ensuring the smooth and efficient running of the Board, including ensuring the issue of proper notices of meetings.

  • Support the Chair and Chief Executive in setting the agenda and production of Board papers.

  • The timely and prompt circulation of Board papers.

  • Take and produce minutes, to include an action log, to record the business transacted and the decisions taken at each Board meeting, development session and Governance Committee.

  • Ensure that all decisions are made in accordance with MTT’s Memorandum and Articles and other relevant policies.

  • Document any suggested changes or updates to the charity’s governing documents. This record will inform the annual review of the Trust’s governing documents undertake by a governance expert.

Required skills include:

  • Good verbal and written communication skills

  • Interpersonal skills and the ability to work well with people at all levels

  • Attention to detail and a well-organised approach to work

  • The ability to prioritise work and to work well under pressure

  • A diplomatic approach and the confidence to provide support to high-profile company staff and board members

  • Integrity and discretion when handling confidential information

  • Good IT Competence including Microsoft Office

  • Experience of performing a secretarial role is desirable

This position does not require company secretarial experience but does require the services of an experienced note taker with excellent administration skills. The ability to speak Welsh would be an advantage.
